Misuse of the website, unethical activities, or attempts to disrupt service functionality may result in access termination.
3. Service Engagement & Project Terms
3.1 Project Commencement
A project begins only after:
A formal agreement/contract is signed
Required advance payment is made
Initial project inputs/materials are shared
3.2 Ownership of Work
Final deliverables become the client's property only after full payment.
All drafts, concepts, working files, and raw files remain the intellectual property of Black Cherie Media unless explicitly purchased or agreed upon.
3.3 Client Responsibilities
The client agrees to:
Provide timely feedback and required materials
Communicate clearly and promptly
Review and approve work within agreed timelines
Delays caused by the client may extend project deadlines.
4. Payments & Billing
4.1 Payment Terms
All payments must be made as per the invoice terms.
Advance payments are non-refundable unless specified in our Refund Policy.
Project work may pause or stop if payments are delayed.
4.2 Third-Party Costs
Costs such as hosting, domains, advertising spend, plugins, apps, or tools are not included in project fees unless explicitly mentioned.
5. Cancellations & Refunds
Refunds and cancellations follow our Cancellation & Refund Policy, which is part of these Terms.
6. Intellectual Property Rights
6.1 Company's Rights
All branding concepts, strategy frameworks, design drafts, wireframes, prototypes, and creative explorations remain the property of Black Cherie Media.
We reserve the right to showcase completed work in our portfolio, marketing materials, or case studies unless a confidentiality agreement is signed.
6.2 Client's Rights
Clients gain usage rights to finalized and approved deliverables after full payment.
7. Confidentiality
Both parties agree to maintain confidentiality of proprietary information, project data, and materials unless permission is granted in writing.
8. Limitation of Liability
Black Cherie is not liable for:
Loss of revenue, profits, or data
Delays caused due to external factors or client approvals
Third-party service failures (hosting, ad platforms, integrations, APIs, etc.)
Any outcomes dependent on marketing performance (ads, sales, leads, conversions)
Our maximum liability is limited to the amount paid by the client for the service in question.
9. Third-Party Tools & Integrations
We may use third-party software, plugins, APIs, or tools.
We are not responsible for technical issues, downtime, or failures arising from such platforms.
Any third-party terms will also apply to the client.
10. Project Timelines
Timelines provided are estimates.
Delays may occur due to:
Changes in scope
Client delays
Technical issues or third-party failures
Additional revisions beyond agreed scope
11. Revisions & Scope Changes
Projects include a limited number of revisions depending on the package.
Additional revisions or changes after approval may incur additional costs.
Major scope changes require a revised quotation.
12. Termination of Services
Black Cherie reserves the right to terminate services if:
Payments are not completed
The client engages in abusive, unethical, or uncooperative behavior
Terms are violated
Clients may terminate services as per the cancellation rules.
13. Governing Law
These Terms are governed by and interpreted in accordance with the laws of India.
Disputes will be handled in courts located in Pune, Maharashtra.
